Murage Cloud terms

How paying for Murage Cloud works, and the rules for using it, in plain English.

About these terms

These terms are an agreement between you and Ferrox Labs, LLC, a Florida limited liability company, 1000 Brickell Ave, Suite 715, Miami, Florida 33131, USA (“Ferrox Labs”, “we”, “us”). They cover Murage Cloud.

They add to our terms of service. Both apply when you use Murage Cloud. If the two disagree about Murage Cloud, these terms win.

If you are a consumer who habitually lives in the EU, EEA, UK or Switzerland, nothing in these terms takes away rights your local law gives you that cannot be waived. Each limit in these terms applies to you only as far as that law allows. That includes refunds, price reductions and other remedies that consumer law requires, and liability that cannot legally be limited, such as fraud, or death or personal injury caused by negligence.

You accept these terms by ticking the box at checkout. If you sign up for a company, you agree for that company and confirm you may do so. You must be 18 or older.

What Murage Cloud is

Murage Cloud runs your own copy of Murage on a private server we look after. Your team keeps working when your laptop is closed. You can reach it from your phone without setting up a VPN.

Each customer gets their own virtual server, separate from other customers. Its memory and disk are not shared with them. The physical machine underneath is shared. Your data on it is stored encrypted. We hold the key. Encryption protects your data if a disk is lost or copied. It does not stop us reading it in the cases listed under Your server and your data.

Plans and billing

Plans are billed monthly, in advance. Our prices are in US dollars. If you pay through Link, Link’s payment page shows today’s total, including tax, in your currency before you pay, and our confirmation email repeats the amount and currency charged. Each plan renews every month until you cancel. There is no free trial and there are no lifetime deals.

In short: your plan renews monthly at its US-dollar price plus applicable tax. If you pay in another currency, renewal amounts may change with exchange rates. We charge your card on the same day each month until you cancel. You cancel in your account, in one click, with no call or email needed. Your server runs to the end of the month you paid for. We email you a confirmation that repeats these terms, and you get a reminder once a year that your plan renews. If you pay through Link, your receipt comes from Link and our confirmation comes from us.

The current plans and prices are on our pricing page. The price you pay is the one shown when you sign up or renew. Prices are a month, plus tax where it applies. In the US, checkout always shows the total including tax before you agree. Outside the US, Link’s payment page shows it before you pay. If the tax cannot be worked out, we ask you to try again.

Who sells to you

  • Ferrox Labs, LLC sells and provides Murage Cloud, wherever you are.
  • If you are in the US, we take your payment through Stripe, and we add US sales tax where it is required.
  • If you are outside the US, Sold through Link, LLC, a Stripe company, takes your payment as merchant of record on our behalf, under the Link brand. Link adds local tax, such as VAT or GST, where it handles that tax. It sends your receipt and handles payment questions. Your card statement shows “LINK.COM* MURAGE”. Ferrox Labs provides the service and product support.

You can move to a bigger plan at any time. It starts straight away, and you pay only the difference for the rest of the month. A move to a smaller plan starts at the end of the period you have paid for.

If we change the price of your plan, we will email you at least 30 days before the new price applies. You can cancel before then.

Refunds and your right to withdraw

In short: ask within 7 days and you get your first month back. After that, refunds are available where the law requires them or under Link’s policy if you paid through Link. EU, EEA and UK consumers have a legal right to withdraw.

If Murage Cloud isn’t right for you, ask within 7 days of your first payment, and we refund your first month’s subscription fee. We may deduct the face value of included Flux credits you have already used, and we remove the unused included credits. We give this refund once per customer. It does not cover Flux top-ups you bought separately, or accounts closed for abuse. Your legal refund and withdrawal rights are not affected.

After that, payments are not refunded, except where the law says they must be. We also do not refund when we suspend or close an account for abuse (see Suspension for abuse).

If you paid through Link, our refund rules do not limit your legal rights or any better rights you have under Link’s terms. Link may give refunds under its own policy for purchases made in the last 60 days, but approval is not guaranteed. You can contact Link support directly. Link’s EU and UK terms also give a cooling-off period counted from when you get access. These terms do not shorten it.

EU and UK consumers

If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you also have a legal right to withdraw within 14 days of the day you completed checkout, without giving a reason. This right is yours by law, and these terms do not take it away. This right is for consumers, not for businesses. To use it, email support@murage.ai. You can also withdraw through “Withdraw from contract here” on your Murage Cloud account page. We confirm your withdrawal by email, with the date and time we got it.

If you tick the box at checkout asking us to start your service right away, you accept that if you withdraw within the 14 days you pay for the part of the service already provided, up to the day you tell us. If you do not tick it, your service starts after the 14 days, and we make no deduction. The part provided counts only from your start-now request.

If you asked for an early start and then withdraw, we deduct only the part of the monthly subscription price for service actually supplied after that request and before your withdrawal notice. We work it out using the days in your billing period. We do not add a separate charge for included Flux credits. If our 7-day refund offer gives you a larger refund, we apply that offer instead. Any refund we have already made for the same payment counts towards it. We refund the rest. We pay it back within 14 days of getting your notice, to the way you paid, and we charge no fee for it.

You can use any clear statement to withdraw, or this model form: “To Ferrox Labs, LLC (Murage), 1000 Brickell Ave, Suite 715, Miami, Florida 33131, USA; support@murage.ai: I withdraw from my contract for Murage Cloud. Ordered on: ___. Name: ___. Address: ___. Account email, if available: ___. Signature, only on paper: ___. Date: ___.” Please give enough detail for us to find your subscription. Using a different email address does not make your notice late. We may check who you are before we release account information or a refund.

Failed payments

If your Murage Cloud payment fails, we will tell you and try again. You have 3 days to fix it. Your server keeps running during those 3 days.

If the payment still has not gone through after 3 days, we suspend your server. A suspended server stops running, but your data is kept (see the next section). Pay what is owed and we turn it back on. Once your data has been deleted, it cannot be restored.

Cancelling, and what happens to your data

You can cancel at any time from your account, with the Cancel plan button. It is one click and you do not need to call or email us. We confirm by email. If you paid through Link, you can also cancel in your Link account. Asking Link to delete your data also ends your plan. Your server keeps running until the end of the period you have paid for. Then it is suspended.

After your server is suspended, for any reason, we keep your data for 30 days. You can come back during that time. You can also email support@murage.ai for a copy of your data, and we send you an export within 7 days of your request.

If you switch to another provider or to your own systems under the EU Data Act, you can get your data back for at least 30 days after the agreed switch ends. We do not delete it before then, or before the switch has finished.

While an export request is open, we do not delete your data. We delete it after we have sent the export, and no sooner than the 30 days. Only your first export request in that time pauses deletion. A second request does not pause it again, but we still send you what we hold before deletion.

When the 30 days are over, and any export you asked for has been sent, we delete your server, its data and all its backups together. We do not delete them before the 30 days end. Deleted data cannot be recovered.

We keep a few records after that, and only these. Invoices, billing and tax records: as long as tax and accounting law requires. Support emails: up to 24 months after our last reply. The log of backup unlocks and of access to your server: 24 months from each entry. Records of what you accepted: the terms version, your choices at checkout and at first run of the app, the time, your account, and the IP address and browser details used for proof only, kept for as long as the law requires to prove your agreement. Records under a legal hold are kept only while the hold lasts. Our privacy policy says the same.

Your own AI accounts

Your Murage Cloud plan does not include your own Claude or ChatGPT subscription usage. You sign in with your own Claude or ChatGPT account. Your bots then run on that account. Flux credits are separate: you can use them on any Flux model.

You follow those providers’ own terms when you use their accounts. You pay them directly. We never resell or pay for your Claude or ChatGPT usage, and we are not responsible for what those providers charge, limit or change. Ferrox Labs is not affiliated with or endorsed by Anthropic or OpenAI. Claude and ChatGPT belong to their owners.

Flux credits

In short: your plan includes credits each month. Unused plan credits last one more month. Credits you buy never expire. They are not refunded unless the law says so.

  • Each plan includes a set amount of Flux Router credits every month. You can use them on any Flux model. This is a benefit of your plan, not credits you have paid for.
  • Unused monthly credits carry over for one month. That means you can use them until the end of the next billing month. Then they expire.We use included credits before credits you bought.
  • Credits you buy as a top-up never expire. They are not refunded, except where the law requires a refund. Flux Router sells them, and Flux Router’s terms also apply.
  • Credits have no cash value. They cannot be sold, transferred or exchanged for money.
  • Auto top-up is available for US billing; elsewhere you top up when you choose.Automatic top-up is optional. At checkout there is a box for it, and it is not ticked. The box shows how much each top-up adds, the balance that triggers it (for example, add $X when your balance falls below $Y), the total charge including tax, and a monthly cap with the time it resets, all filled in for you. The cap covers automatic top-up charges only, not your plan or credits you buy yourself. You can change them. Once you tick the box, top-ups run by themselves, up to that cap. Both amounts are also on your account page. You can turn it off or change the cap at any time.
  • To keep costs predictable, Flux may resize images, turn PDFs into text and page images, and convert audio before sending them to the model you picked.
  • Flux Router has its own terms, which apply when you use it. Read them at fluxrouter.ai.

Acceptable use policy

Everything in the acceptable use section of our terms of service applies to Murage Cloud. On Murage Cloud you must also not use your server, or let your bots use it, to:

  • mine cryptocurrency
  • send spam or bulk email. Outbound mail ports are blocked on every server. Send email through an email service you have signed in to.
  • scrape websites in a way that breaks their terms
  • store, share or make illegal content
  • attack, scan or overload other systems, or get into anything you are not allowed to access
  • resell your server, or let anyone else use it. Each plan is for one person, signed in to their own AI accounts. Plans for teams are coming later

You are responsible for what your bots do on your server, as you are on your own computer. Actions your bots take with your accounts, tools and approvals are your actions, as set out in the terms of service.

Suspension for abuse

In short: if you break the rules, we can switch you off. If we do, you do not get a refund.

We may suspend your server if we reasonably believe it is being used against this policy, if it is harming other people or our systems, or if the law requires it. Where we reasonably can, we will tell you first and give you a chance to fix it.

If the abuse is serious or keeps happening, we may close your account. WE DO NOT REFUND ANY PART OF A PAID PERIOD WHEN WE SUSPEND OR CLOSE AN ACCOUNT FOR ABUSE. This is subject to the law and, if you paid through Link, to Link’s own refund policy.

Your server and your data

Your data stays yours. We store it encrypted on your own server in the EU: Germany or Finland, or another EU data centre if those are full. Backups stay in the EU too. We only access your server to run it, keep it updated, back it up, fix a problem you ask us to fix, to look into suspected abuse or a security problem, or when the law requires it.

Backups

Your data is backed up every night, encrypted, and kept in the EU. We keep 7 daily and 4 weekly copies. If something goes wrong, we can restore it for you. Ferrox Labs holds the key and can unlock your server and its backups. Every unlock is logged.

Your Claude and ChatGPT sign-ins are never backed up. After a restore, you sign in again.

Backups are deleted with your data, after the 30 days and once your first export request has been sent (see Cancelling, and what happens to your data).

Availability and changes to the service

In short: we do our best to keep your server running. We make no promise about uptime, and we give no service credits.

WE DO NOT PROMISE ANY LEVEL OF AVAILABILITY OR UPTIME, AND WE OFFER NO SERVICE CREDITS OR REFUNDS WHEN THE SERVICE IS DOWN. We may need to restart your server for updates and repairs, and we will try to do that at quiet times.

We may improve or change Murage Cloud over time. If we make a change that takes away something important in your plan, we will tell you first and you can cancel.

Affiliates

If you join our affiliate program, its own terms apply. They are separate from these terms.

Disputes

In short: disputes about Murage Cloud follow the same arbitration rules as the main terms. One person at a time, no class actions, and you can opt out within 30 days of the day you first tick the box accepting terms that contain the arbitration section.

The section “Governing law and disputes” of our terms of service applies to Murage Cloud in full. That includes the 60-day informal period, binding individual arbitration, the class-action and jury waivers, the 30-day opt-out (counted from the day you first tick the box accepting those terms) and Florida law. If you are a consumer who habitually lives in the EU, EEA, UK or Switzerland, the arbitration, class-action and jury waivers do not apply to you, and you can use your local courts. Your mandatory consumer protections stay in force.

Limit of liability for Murage Cloud

In short: for Murage Cloud, the most we pay on a claim is what you paid in the last 3 months, or US$100 if that is more.

FOR MURAGE CLOUD, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US FOR MURAGE CLOUD IN THE 3 MONTHS BEFORE THE CLAIM, OR US$100. This replaces the cap in the main terms of service for Murage Cloud. The disclaimers, the exclusion of indirect losses and the indemnity in the main terms also apply to Murage Cloud, including for your bots and agents and the AI accounts you connect. If you are a consumer who habitually lives in the EU, EEA, UK or Switzerland, this section applies to you only to the extent your local law allows.

Everything else

Our terms of service cover everything these terms do not, including disclaimers, indemnity, agent actions and governing law.

Changes to these terms

We may update these terms. We email you at least 30 days before a change takes effect. Then we ask you to accept the new terms on your account page. If you do not want them, you can cancel. An automatic renewal is not an acceptance. If you never accept them, your current terms keep running to the end of the period you have paid for, and then your plan does not renew. We remind you when we send the notice, 7 days before your period ends, and when it ends. If you accept before then, your plan carries on.

How fast we reply

We reply to every support email within 2 working days. On the Max plan, we reply within 1 working day. A working day is Monday to Friday, in US Eastern time, not counting US federal holidays. A reply is an answer to your question, not an automatic receipt.
